1. General Provisions

These Terms of Use (hereinafter referred to as the "Terms") govern the relationship between the individual operating under the trade name "PIXEL CORE" (hereinafter referred to as the "Contractor", "we", "us") and any individual or legal entity (hereinafter referred to as the "User", "Client", "you") using the website pixelcore.it.com (hereinafter referred to as the "Website") and the services provided through it.

Services are provided by an individual without the status of a registered entrepreneur (without FOP). The relationship between the parties is governed on the basis of a civil law contract (service agreement / contract for work) in accordance with the Civil Code of Ukraine.

By using the Website and/or placing orders, you confirm that you have read, understood, and fully accepted these Terms.

The User confirms acceptance of these Terms by checking the corresponding checkbox during registration or when placing an order. Without confirming acceptance, use of the Website and Services may be restricted.

Continued use of the Website after accepting the Terms constitutes the User's unconditional agreement with their provisions. The User bears full responsibility for their actions on the Website from the moment of accepting these Terms.

The User confirms that they have reached the age required to enter into contracts under the laws of their jurisdiction. The Contractor shall not be liable for the use of the Website by minors without the consent of their legal representatives.

These Terms have been drafted in compliance with the requirements of:

  • The Civil Code of Ukraine
  • The Law of Ukraine "On the Protection of Personal Data"
  • Regulation (EU) 2016/679 (GDPR) — for users from the European Union

2. Definitions

  • Website — the web resource located at pixelcore.it.com
  • Services — development of websites, Telegram bots, Discord bots, game plugins, and other digital products
  • Order — a request submitted by the User to receive Services
  • Personal Account — a protected section of the Website accessible after registration
  • Personal Data — any information relating to an identified or identifiable natural person

3. Services and Orders

3.1. Description of Services

The Contractor provides digital product development services based on individual agreements with the Client, including:

  • Landing pages and multi-page websites
  • Telegram bots (chatbots, stores, utilities)
  • Discord bots (moderation, entertainment, utilities)
  • Game server plugins (Minecraft, FiveM, etc.)
  • Other custom digital solutions upon individual request

3.2. Placing an Order

Orders are placed through the Personal Account on the Website or by direct communication through contact channels. After the technical specification and cost are agreed upon, the Contractor begins work.

3.3. Delivery Timelines

Order delivery timelines are agreed upon individually and depend on the complexity of the project. The Contractor makes every effort to meet the agreed deadlines; however, the Contractor shall not be liable for delays caused by force majeure circumstances or the Client's failure to provide materials in a timely manner.

4. User Account

4.1. Registration

Registration is required to access the full functionality of the Website. By registering, you agree to:

  • Provide accurate information
  • Keep your data up to date
  • Maintain the confidentiality of your login credentials and password
  • Immediately notify us of any unauthorized access

4.2. Authorization via Third-Party Services

You may sign in using Google, GitHub, Discord, or Telegram. In this case, we receive your email, name, and avatar from the service. We do not gain access to your passwords on those platforms.

4.3. Account Suspension

The Contractor reserves the right to suspend or delete the User's account in the event of a violation of these Terms, use of the Website for unlawful purposes, or abuse of its functionality.

5. Payment and Refunds

5.1. Cost of Services

The cost of services is determined based on the selected plan or an individual estimate and is fixed at the time of placing the order.

5.2. Payment Procedure

The standard payment scheme is as follows:

  • 50% advance payment — before work begins
  • 50% upon completion — after the project is delivered and accepted

Individual payment terms may be available for regular clients.

Payment is considered confirmation of acceptance of the work stage result, unless the User submits a written objection within 48 hours after delivery of the result.

The User acknowledges that digital services are considered rendered as of the moment the work result is delivered in electronic form, unless otherwise specified in the technical specification.

5.3. Refunds

A refund of the advance payment is possible under the following conditions:

  • Work on the project has not yet begun — 100% refund
  • Work has begun but is not completed — refund proportional to the unperformed scope of work
  • Work is completed and delivered — no refund is provided

Refund decisions are made within 14 business days in accordance with the Civil Code of Ukraine (Articles 651, 907) and Article 14 of EU Directive 2011/83/EU (for EU-based clients).

6. Intellectual Property

6.1. Transfer of Rights

Upon full payment of the order, all property rights to the created product are transferred to the Client, unless otherwise agreed separately. The Contractor retains the right to include the work in their portfolio unless a non-disclosure agreement (NDA) has been signed.

6.2. Website Elements

The design, text, graphics, code, and other elements of the Website are the intellectual property of PIXEL CORE and are protected by copyright law. Copying, modification, or distribution without permission is prohibited.

6.3. Technologies Used

The Contractor may use open-source libraries and frameworks during development. These are provided under the terms of their respective open licenses (MIT, Apache 2.0, etc.).

7. Liability of the Parties

7.1. The Contractor undertakes to:

  • Perform the work with due quality and within the agreed timelines
  • Provide technical support during the warranty period (see Section 8)
  • Maintain the confidentiality of the Client's data

7.2. The Contractor shall not be liable for:

  • Failures in the operation of servers, hosting, or third-party services
  • Actions of third parties who have gained access to the Client's account
  • Losses arising from the misuse of the Services
  • Content posted by the Client on the created product
  • Lost profits, indirect losses, and damage to business reputation

7.3. Limitation of Liability

All services are provided on an "as is" basis without any warranties of merchantability or fitness for a particular purpose, except as expressly agreed in the technical specification.

In any case, the Contractor's total liability for all claims related to a particular order shall not exceed the amount actually received as payment for that order. The Contractor shall not be liable for lost profits, indirect, incidental, punitive damages, or damage to business reputation.

7.4. Confirmation of Work Completion

The User agrees that the fact of work completion may be confirmed by file transfers, provision of access credentials, screenshots, system logs, messenger correspondence, or other technical records of the result. The parties agree to consider such technical materials as pre-agreed evidence of work completion, unless otherwise proven in accordance with the procedure established by law.

8. Warranty Obligations

The warranty period is 14 calendar days from the moment the work result is delivered to the Client.

During the warranty period, the Contractor undertakes to correct technical errors caused by the Contractor's fault free of charge.

The warranty does not cover:

  • Changes made by the Client or third parties after delivery of the result
  • Issues caused by incompatibility with third-party services, hosting, or the Client's software
  • New tasks and modifications not included in the original technical specification

After the warranty period expires, technical support and modifications are subject to additional charges.

9. Force Majeure

The Contractor shall be released from liability for partial or complete non-fulfillment of obligations if such non-fulfillment was caused by force majeure circumstances, including but not limited to:

  • Military actions, armed conflicts, states of emergency or martial law
  • Natural disasters, epidemics, pandemics
  • Power supply and internet connectivity disruptions
  • Cyberattacks, DDoS attacks, server breaches
  • Sanctions, blockades, restrictions on access to third-party services
  • Failures of hosting, cloud platforms, and payment systems
  • Adoption of regulations and actions by government authorities making fulfillment impossible

In the event of force majeure circumstances, the deadline for fulfilling obligations shall be extended for the duration of such circumstances. If force majeure persists for more than 90 days, either party may terminate the agreement without penalties.

10. GDPR Compliance and Ukrainian Law

Detailed information about personal data processing is available in our Privacy Policy.

10.1. For EU Users (GDPR)

In accordance with Regulation (EU) 2016/679, you have the right to:

  • Right of access (Art. 15) — obtain a copy of your personal data
  • Right to rectification (Art. 16) — request correction of inaccurate data
  • Right to erasure (Art. 17, "right to be forgotten") — request deletion of your data
  • Right to restriction of processing (Art. 18) — restrict the processing of your data
  • Right to data portability (Art. 20) — receive your data in a portable format
  • Right to object (Art. 21) — object to the processing of your data

10.2. For Users from Ukraine

In accordance with the Law of Ukraine "On the Protection of Personal Data" (No. 2297-VI), you have the right to:

  • Know the sources of collection, the location of your personal data, and the purpose of their processing
  • Receive information about the conditions of access to your data
  • Access your personal data
  • Make changes to or request deletion of your data
  • File complaints with the Ukrainian Parliament Commissioner for Human Rights

10.3. Data Retention Periods

The User's personal data may be retained for the period necessary for the provision of services and compliance with legislation, as well as for the resolution of potential disputes, but for no less than 30 calendar days after account deletion. Upon expiration of the specified period, data is deleted or anonymized.

Technical logs (IP addresses, authorization timestamps, system events) may be retained for the period necessary to ensure the security of the Website and resolve potential disputes.

The User agrees to the retention of technical system logs for the purposes of ensuring security, preventing fraud, and resolving disputes.

11. Taxes and Fees

Each party is independently responsible for the payment of taxes and fees required by the legislation of their jurisdiction in connection with the execution of these Terms and the receipt/payment for services.

The Contractor is not the Client's tax agent and does not withhold taxes from the Client's payments.

12. Payment Disputes (Chargeback)

In the event of an unjustified chargeback being initiated for a service that has actually been rendered, the Contractor reserves the right to:

  • Provide the payment system with all necessary evidence of work completion (screenshots, correspondence, work result)
  • Suspend the User's account until the dispute is fully resolved
  • Suspend all ongoing work on other orders for the given User

The User undertakes to contact the Contractor for pre-trial dispute resolution before initiating a chargeback.

The User acknowledges that initiating an unjustified chargeback may be considered a violation of these Terms of Use.

13. Pre-Trial Dispute Resolution

The parties undertake to attempt pre-trial resolution of any disputes and disagreements arising in connection with these Terms through negotiations within 30 calendar days from the date of sending a written claim.

Claims are sent by email with confirmation of receipt. The response time for a claim is 15 calendar days.

Legal proceedings may be initiated only after the pre-trial resolution procedure has been completed, except in cases where delay may cause significant damage to one of the parties.

14. Termination

You may stop using the Website and delete your account at any time by contacting us via email or through your Personal Account.

The Contractor may discontinue providing Services to the User in the event of:

  • Violation of these Terms
  • Failure to pay for services within the agreed timeframe
  • Use of the Website for illegal activities

Termination does not release the parties from the fulfillment of obligations that have already arisen.

15. Amendment of Terms

The Contractor reserves the right to amend these Terms. The updated version is published on the Website with the date of the last update indicated. Continued use of the Website after changes are made constitutes acceptance of the new Terms.

We will notify registered Users of significant changes by email.

These Terms are governed by the Civil Code of Ukraine. All disputes shall be resolved through negotiations, and if that is not possible — in the competent court at the defendant's location. For EU users, additional guarantees provided by Regulation (EU) 2016/679 (GDPR) apply.
